Terms and Conditions

Effective: 17 October 2026 Last updated: 17 October 2026

1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms", "Terms and Conditions", "Agreement") constitute a legally binding agreement between you ("you", "your", "Customer") and Visva Business Solutions (OPC) Private Limited ("VisVa", "we", "us", "our", "Company"), governing your access to and use of the website located at https://visva.co/ (the "Website") and any related services, features, content, or applications offered by VisVa through the Website (collectively, the "Services").

Please read these Terms and Conditions carefully before using the Website or engaging VisVa for any Services. By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions as they apply to your use of the Website. If you do not agree to be bound by these Terms and Conditions, you must discontinue your use of the Website.

These Terms and Conditions apply to all visitors, users, and others who access the Website or who engage VisVa for business printer management services. VisVa reserves the right to modify, amend, or replace these Terms and Conditions at any time in accordance with Section 13 (Modifications to the Terms). It is your responsibility to review these Terms and Conditions periodically for changes. Your continued use of the Website following the posting of any changes constitutes acceptance of those changes as they apply to your use of the Website.

Website access does not, by itself, create a paid service contract. Merely visiting the Website, browsing its content, or submitting a business enquiry does not, on its own, create a paid-service engagement. A service engagement is formed only after the proposed scope, applicable charges, exclusions, and relevant terms of the engagement have been communicated to you in writing and you have accepted them through an appropriate written confirmation process, as further described in Section 5. A general website-use agreement (governing matters such as acceptable use, intellectual property, and liability) applies to your access to the Website, but paid Services require a separate, confirmed engagement.

1.1 Business purpose and eligibility

The Website and the Services are intended for businesses, professional offices, and individuals acting in a business or professional capacity. The Services are designed for small businesses and professional offices located in the United States and Canada. VisVa does not provide personal, household, or consumer printer troubleshooting or support.

By using the Website or engaging VisVa for Services, you represent and warrant that you are at least eighteen (18) years of age and that you are acting in a business or professional capacity, or on behalf of a business entity with the authority to bind that entity to these Terms and Conditions and to any applicable engagement. If you access the Website or engage VisVa from a jurisdiction where the age of majority is greater than eighteen (18) years, you represent that you have attained the applicable age of majority in that jurisdiction.

Nothing in these Terms and Conditions is intended to exclude, restrict, or waive any rights or protections that cannot lawfully be excluded, restricted, or waived under applicable law, including any mandatory protections available to a Customer under applicable consumer protection law in the Customer's jurisdiction, to the extent such protections apply.

2. Definitions

For the purposes of these Terms and Conditions, the following capitalized terms have the meanings set out below. Other capitalized terms are defined where they first appear in the text.

  • "Business Day" means any day other than a Saturday, Sunday, or public holiday in the State of Punjab, India.
  • "Confidential Information" means non-public information disclosed by either party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. 3.1 Independent-Provider Disclosure

VisVa is an independent business printer management services provider. VisVa is not affiliated with, endorsed by, sponsored by, or authorized by HP, Canon, Epson, Brother, Xerox, Lexmark, or any other printer manufacturer. Manufacturer names and trademarks are used only to identify compatible products or to discuss relevant business printing environments, where applicable. All trademarks belong to their respective owners. VisVa does not represent itself as a manufacturer's official support department, authorized service center, or warranty provider, and VisVa does not claim authority to administer or extend manufacturer warranties.

4. Description of Services and Service Exclusions

VisVa provides business-focused printer management services to small businesses and professional offices. The Services are designed to assist businesses in organizing, configuring, and managing their office printing environments. The descriptions below are provided for informational purposes and do not constitute a binding offer, guarantee of availability, or commitment to provide any particular service.

4.1 Office Printer Environment Assessment

VisVa may conduct an assessment of a Customer's existing printing environment to understand the devices in use, how they are used, how workstations connect to them, and what operational issues may exist. The assessment may include identifying configuration inconsistencies, reviewing the device count and mix, documenting business requirements, and determining which tasks fall within VisVa's service scope.

4.2 Business Printer Setup and Configuration Coordination

VisVa may assist businesses in planning device configuration requirements, compatibility considerations, connection methods, and device preferences. VisVa may coordinate with the Customer's existing IT arrangements where necessary and appropriate. Physical installation at Customer premises is not included unless separately agreed and confirmed in writing.

4.3 Office Network Printing Configuration Assistance

VisVa may assist with common network printing configuration considerations, including wired and wireless connectivity, address conflicts, and shared printing environments. VisVa may coordinate with the Customer's network administrator where necessary. VisVa does not access or control a Customer's network without explicit permission.

4.4 Printer Driver and Software Administration

VisVa may assist businesses in identifying suitable printer drivers, supported software, compatible operating systems, and consistent device configuration requirements. VisVa may help Customers understand the steps involved in managing their printing environment software. VisVa does not supply proprietary software, licensed applications, or manufacturer tools as part of its Services. Third-party software costs are paid separately by the Customer.

4.5 Multi-Printer Environment Coordination

VisVa may assist businesses operating multiple printers with organized device records, configuration documentation, usage considerations, and opportunities to simplify routine administration. VisVa's multi-printer coordination is based on documentation and advisory support. It does not include automated monitoring software, a live fleet dashboard, or remote telemetry.

4.6 Printing Workflow Organization

VisVa may assist businesses in reviewing printing practices, identifying avoidable complexity, standardizing settings where appropriate, and assessing whether current printing arrangements suit business needs. Practical considerations may include unnecessary printing, device selection, document workflows, consumable planning, and administrative coordination. No cost-saving figures or guaranteed financial results are implied. Outcomes depend on the Customer's environment and practices.

4.7 Ongoing Business Printer Management

VisVa may provide continued assistance as devices, staff, software, and office requirements change. Activities may include reviewing documented configurations, discussing recurring operational concerns, coordinating future changes, and identifying when an issue requires another specialist. Ongoing coverage, scheduling, and service terms are agreed upon in writing before any recurring arrangement begins.

4.8 Service Exclusions

Unless expressly agreed and confirmed in writing, the following are excluded from VisVa's Services:

  • Physical hardware repairs, component replacement, or onsite technician visits
  • Manufacturer warranty service, warranty administration, or manufacturer-authorized repairs
  • Automated printer fleet monitoring, live dashboards, or remote telemetry
  • Any guarantee of printer repair, uninterrupted operation, specific resolution times, cost savings, or particular business results
  • Any service requiring manufacturer-specific certifications or authorizations
  • Any service not expressly included in the applicable Engagement

VisVa does not guarantee that any particular printer issue can be resolved through the Services.

5. Engagement Process and Service Scope

The following process describes how VisVa engagements are formed. It is designed to be transparent so that Customers know what to expect before any paid work begins.

5.1 Business Enquiry

A prospective Customer may submit a business enquiry through the Website's enquiry form, by telephone at +1 (888) 973-3308, or by email at support@visva.co. The enquiry should describe the Customer's office printing environment and the assistance required.

5.2 Requirements Discussion

Upon receipt of an enquiry, VisVa will review the stated requirements to determine whether the request falls within its service scope. VisVa may request additional information to better understand the Customer's environment and needs.

5.3 Written Scope and Pricing Confirmation

Before any paid work begins, VisVa will confirm in writing the proposed scope of work, any limitations or exclusions, the applicable charges, and the applicable payment terms.

5.4 Customer Approval

The Customer must have the opportunity to review and approve the proposed scope and charges before proceeding. Approval may be provided through written confirmation by email or through another method actually offered by VisVa and confirmed in the applicable Engagement.

5.5 Delivery of Agreed Service

Upon confirmation of scope and charges, VisVa will proceed with the agreed Services and, where an issue requires another provider, explain the appropriate next step.

5.6 No Guarantee of Acceptance

VisVa reserves the right to decline any enquiry or request for Services at its sole discretion. VisVa is not obligated to provide Services to any particular Customer or for any particular request and may decline a request that falls outside its service scope. An enquiry does not commit VisVa to accept an engagement and does not commit the Customer to a purchase.

6. Pricing, Fees, Payments, Cancellations, and Refunds

6.1 Pricing

VisVa does not publish a standard public price list. Pricing for Services depends on the specific scope of the requested work, the Customer's environment, and the agreed Engagement. Applicable fees are confirmed in writing with the Customer before paid work begins.

6.2 Fee Disclosure

All applicable fees are communicated to the Customer before any paid work begins. The Customer is informed in advance about exclusions and relevant limitations that could affect the applicable charges.

6.3 Third-Party Costs

Third-party costs, including software licenses, subscription fees, hardware purchases, consumables, and manufacturer charges, are not included in VisVa's service fees. Such costs are paid separately by the Customer unless the applicable Engagement expressly states otherwise.

6.4 Payment Terms

Payment terms, including accepted payment methods and payment schedules, are communicated to the Customer before the commencement of paid work. VisVa reserves the right to require payment in advance or upon completion of specific milestones as agreed in writing.

6.5 Recurring Charges and Subscriptions

If the Customer requests an ongoing arrangement, recurring charges may apply. Any recurring charge, subscription, or similar ongoing fee is disclosed and expressly agreed upon in writing before the recurring arrangement begins. VisVa does not apply recurring charges without prior written agreement.

6.6 Cancellations and Refunds

Cancellation requests must be submitted in writing to support@visva.co or through another cancellation method actually offered by VisVa and confirmed in the applicable Engagement.

Refund eligibility, treatment of work already completed, cancellation timing, and any applicable fees are governed by the applicable Service and Cancellation Policy published at https://visva.co/service-and-cancellation-policy/ and by the specific terms of the applicable Engagement.

Nothing in these Terms and Conditions removes any right or remedy that cannot lawfully be excluded or restricted under applicable law.

7. Customer Responsibilities and Acceptable Use

By engaging VisVa for Services, and by using the Website, you agree to the following responsibilities and obligations.

7.1 Accurate Information

You agree to provide accurate, current, and complete information regarding your business, your printing environment, and your requirements, and to promptly notify VisVa of any material change to that information.

You agree to comply with all applicable local, state, provincial, national, and international laws, rules, and regulations in connection with your use of the Website and the Services.

7.5 Acceptable Use

You agree not to use the Website or Services for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Website, or that could interfere with any other party's use of the Website. Prohibited activities include, but are not limited to:

  • Attempting to gain unauthorized access to the Website, its servers, or any connected systems
  • Transmitting any viruses, malware, or other harmful code
  • Using the Website to send unsolicited commercial communications
  • Impersonating any person or entity, or misrepresenting your affiliation with any person or entity
  • Collecting or harvesting any information from the Website without authorization
  • Using automated systems, including bots, to access the Website in a manner that generates excessive requests

7.6 No Misrepresentation of Affiliation

You agree not to misrepresent your identity, your business, or your affiliation with any organization, and not to falsely represent that you are affiliated with, endorsed by, or authorized by any printer manufacturer.

8. Intellectual Property Rights

8.1 VisVa Intellectual Property

The Website and all content, features, and functionality of the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement of the Website (collectively, the "VisVa Content"), are owned by Visva Business Solutions (OPC) Private Limited or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2 License to Use the Website

Manufacturer names and trademarks referenced on the Website, including HP, Canon, Epson, Brother, Xerox, and Lexmark, are the property of their respective owners. VisVa references such marks solely to identify compatible products or discuss relevant business printing environments. No affiliation, endorsement, or sponsorship is implied.

8.4 Customer Content

You retain all rights, title, and interest in and to any Customer Content you provide to VisVa. By providing Customer Content, you grant VisVa a limited, non-exclusive, royalty-free license to use, reproduce, and process such Customer Content solely for the purpose of performing the Services and as otherwise described in VisVa's Privacy Policy.

9. Privacy and Data Protection

9.1 Privacy Policy

VisVa's collection, use, and protection of personal information is governed by VisVa's Privacy Policy, available at https://visva.co/privacy-policy/. The Privacy Policy is incorporated into these Terms and Conditions by reference.

9.2 Data Collection

VisVa collects only the information reasonably required to respond to a business service enquiry and to provide the Services. Contact information is requested so that VisVa can respond to your enquiry and discuss the requested service. Visiting the Website does not, by itself, constitute consent to all data processing. Where consent is required, VisVa obtains it through the specific mechanisms described in its Privacy Policy.

9.3 Data Protection

VisVa implements reasonable security safeguards to protect personal data, including appropriate technical and organizational measures. VisVa obtains appropriate permission before accessing a Customer's system and limits access to the information needed for the agreed service. No method of transmission over the internet or method of electronic storage is completely secure, and VisVa cannot guarantee absolute security.

9.4 Data Retention

VisVa retains personal data only for as long as necessary to fulfill the purposes for which it was collected, unless a longer retention period is required or permitted by law. When the purpose for which personal data was collected is no longer being served, VisVa will delete or anonymize such data in accordance with applicable law and its Privacy Policy.

9.5 Data Breach Response

In the event of a personal data breach, VisVa will respond in accordance with applicable law and the procedures described in its Privacy Policy, including notifying affected individuals and any relevant authorities where required by applicable law.

9.6 Your Rights

Subject to applicable law, you may have the right to access, correct, update, or request deletion of your personal data. To exercise these rights, please contact VisVa at support@visva.co. VisVa will respond to such requests within the timeframes required by applicable law.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Website and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

VisVa does not warrant that:

  • The Website will be uninterrupted, timely, secure, or error-free
  • The results obtained from the use of the Services will be accurate or reliable
  • Any errors in the Website or Services will be corrected
  • The Services will meet your specific requirements or expectations

Nothing in these Terms and Conditions excludes or restricts any warranty or condition that cannot lawfully be excluded or restricted under applicable law.

10.2 No Guarantee of Results

VisVa does not guarantee any specific outcome, result, or benefit from the Services. Any statements regarding potential benefits, improvements, or outcomes are aspirational and do not constitute guarantees. Actual results depend on the Customer's environment, cooperation, and other factors outside VisVa's control.

10.3 Limitation of Liability

To the fullest extent permitted by applicable law, VisVa, its directors, officers, employees, agents, and affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:

  • Your access to, use of, or inability to access or use the Website or Services
  • Any conduct or content of any third party on the Website
  • Any content obtained from the Website
  • Unauthorized access, use, or alteration of your transmissions or content

To the fullest extent permitted by applicable law, VisVa's total aggregate liability for any claim arising out of or relating to these Terms and Conditions or the Services shall not exceed the total amount actually paid by you to VisVa for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation applies only to the extent permitted by applicable law. It does not limit or exclude any liability that cannot lawfully be limited or excluded, including liability for fraud, willful misconduct, or any other liability that applicable law does not permit to be limited. The enforceability of any monetary cap depends on the applicable law and the circumstances of the specific dispute, and is not represented by VisVa as guaranteed.

10.4 Basis of the Bargain

The limitations of liability set out in this Section 10 reflect the allocation of risk between the parties and form an essential basis of the bargain between the parties. Without these limitations, VisVa would not be able to provide the Services on the terms set out in these Terms and Conditions.

10.5 Mandatory Rights Preserved

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Where such laws apply, some of the above limitations may not apply to you, and VisVa's liability will be limited only to the greatest extent permitted by applicable law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Visva Business Solutions (OPC) Private Limited and its directors, officers, employees, agents, affiliates, successors, and assigns from and against third-party claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your unlawful conduct in connection with your use of the Website or Services
  • Your material breach of these Terms and Conditions
  • Your infringement or violation of any third-party right, including intellectual property or privacy rights
  • Your misuse of the Website or the Services

This indemnification obligation is subject to applicable law and is not intended to require you to indemnify VisVa for any claim arising from VisVa's own negligence, willful misconduct, or breach of these Terms and Conditions. This indemnification obligation survives the termination of these Terms and Conditions and your use of the Website or Services.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India, without giving effect to any choice or conflict of law provision or rule, and subject to any mandatory laws that apply in the jurisdiction of the Customer.

12.2 Jurisdiction

Subject to Sections 12.3 and 12.4, you and VisVa agree to submit to the jurisdiction of the courts located in Mohali, Punjab, India, for the resolution of any dispute arising out of or relating to these Terms and Conditions or the Services. This provision does not exclude or limit any right you may have to bring a claim before any court of competent jurisdiction where such a right cannot lawfully be excluded.

12.3 Good-Faith Negotiation

Before commencing legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation. Either party may initiate this process by providing written notice to the other party describing the dispute and the desired resolution. The parties agree to negotiate in good faith for a reasonable period before resorting to formal proceedings.

12.4 Mandatory Rights Preserved

Nothing in this Section 12 excludes, restricts, or waives any right or protection that cannot lawfully be excluded, restricted, or waived, including any mandatory right to bring a claim in the courts of your own jurisdiction where such a right applies to you.

13. Modifications to the Terms

13.1 Right to Modify

VisVa may modify these Terms and Conditions from time to time. Updated Terms and Conditions will be published on the Website with a revised "Last Updated" and "Effective Date."

13.2 Effect on Existing Engagements

Changes to these Terms and Conditions apply to your future use of the Website. Changes to an existing paid Engagement are governed by the applicable Engagement terms and applicable law and are not applied retroactively to alter the terms of an accepted Engagement without your agreement or as permitted by applicable law.

13.3 Review Responsibility

It is your responsibility to review these Terms and Conditions periodically for changes. Your continued use of the Website after any update constitutes acceptance of the updated Terms and Conditions as they apply to your use of the Website.

14. Termination

14.1 Termination of Website Access

VisVa may terminate or suspend your access to the Website at any time, without prior notice or liability, if you breach these Terms and Conditions or if VisVa discontinues the Website.

14.2 Cancellation of an Engagement

Cancellation of an active paid Engagement is governed by Section 6 of these Terms and Conditions, by the terms of the applicable Engagement, and by the applicable Service and Cancellation Policy published at https://visva.co/service-and-cancellation-policy/.

14.3 Effect of Termination

Upon termination of website access, your right to use the Website will immediately cease. All provisions of these Terms and Conditions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Miscellaneous Provisions

15.1 Entire Agreement

These Terms and Conditions, together with the Privacy Policy, the Service and Cancellation Policy, the Disclaimer, the Cookie Policy, and any other agreements expressly incorporated by reference, constitute the entire agreement between you and VisVa concerning the Website and Services, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

Each of the referenced policies governs its respective subject matter as described on the applicable policy page. The specific written Engagement for a paid Service confirms the agreed service scope, applicable pricing, and any additional service-specific terms for that Engagement. All of the foregoing operate subject to applicable law.

15.2 Waiver

No waiver by VisVa of any term or condition set out in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by VisVa to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

15.3 Severability

If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms and Conditions will continue in full force and effect.

15.4 Assignment

You may not assign or transfer these Terms and Conditions, by operation of law or otherwise, without VisVa's prior written consent. VisVa may assign or transfer these Terms and Conditions, in whole or in part, without restriction.

15.5 No Third-Party Beneficiaries

These Terms and Conditions do not confer any rights or remedies upon any person or entity other than the parties to them and their respective successors and permitted assigns.

15.6 Force Majeure

VisVa shall not be liable for any failure or delay in performance under these Terms and Conditions due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.7 Headings

The headings in these Terms and Conditions are for convenience only and have no legal or contractual effect.

15.8 Language

These Terms and Conditions are drafted in the English language. Any translation is provided for convenience only, and the English version shall govern in the event of any conflict.

16. Additional Business and Independent-Provider Disclosures

16.1 Independent-Provider Status

As stated throughout these Terms and Conditions, VisVa is an independent business printer management services provider. VisVa is not affiliated with, endorsed by, sponsored by, or authorized by any printer manufacturer.
